Broker Agent Contract

AGENCY AGREEMENT / عقد الوكالة

This Agreement is entered into on April 11, 2025 at 7:33 am by and between:

Company: Nomads Hive Ltd, a company incorporated and registered in the United Kingdom, with its principal office located at  71-75 Shelton Street , Covent Garden, london, hereinafter referred to as “the Company”.

And

Agent: Nomads Hive, residing in 71-75 Shelton Street , Covent Garden, london, hereinafter referred to as “the Agent”.

The Company operates properties and serviced apartments, and the Agent desires to promote and introduce guests to these properties on a commission or arbitrage basis, under the terms and conditions set forth below.

By submitting this agreement and completing payment, the Agent confirms full understanding and acceptance of the terms stated herein. This contract shall be considered binding from the date of submission.

تم إبرام هذه الاتفاقية بتاريخ April 11, 2025 at 7:33 am بين:

الشركة: نومادز هايف المحدودة، وهي شركة مسجلة في المملكة المتحدة ويقع مكتبها الرئيسي في [أدخل عنوان الشركة]، ويُشار إليها لاحقًا بـ “الشركة”.

و

الوكيل: Nomads Hive، المقيم في 71-75 Shelton Street , Covent Garden, london، ويُشار إليه لاحقًا بـ “الوكيل”.

تقوم الشركة بتشغيل شقق مفروشة وعقارات سياحية، ويرغب الوكيل في الترويج لهذه العقارات وإحضار الضيوف بموجب شروط تُحدد أدناه، إما بنظام العمولة أو بأسلوب إعادة البيع (أربيتراج) بعد شرائه لليالي.

من خلال توقيع هذه الاتفاقية وإتمام الدفع، يقر الوكيل بأنه قرأ وفهم جميع الشروط والموافقة عليها بالكامل. وتُعتبر هذه الاتفاقية سارية وملزمة اعتبارًا من تاريخ إرسالها.

1. Purpose / الغرض

The Company appoints the Agent as a local operator and booking partner. The Agent may promote properties, purchase available nights (Arbitrage Days), and resell to guests.
تقوم الشركة بتعيين الوكيل كمشغل محلي وشريك حجز. يجوز للوكيل الترويج للعقارات وشراء ليالٍ متاحة (أيام الوساطة) وإعادة بيعها للنزلاء.

2. Relationship / العلاقة

The Agent is an independent contractor. No partnership or employment relationship is created.
الوكيل هو متعهد مستقل. لا يتم إنشاء شراكة أو علاقة عمل.

3. Security Deposit / التأمين

The Agent shall pay €200 as a security deposit. €10 (5%) is non-refundable. €190 is refundable on the 1st of the next month if no damages are found.
يدفع الوكيل مبلغ 200 يورو كتأمين. 10 يورو (5٪) غير قابلة للاسترداد. يتم رد 190 يورو في الأول من الشهر التالي إذا لم يتم العثور على أضرار.

4. Smartlock Access / الوصول عبر القفل الذكي

Agent may receive smartlock access. Misuse results in forfeiture of deposit and termination.
قد يحصل الوكيل على وصول إلى القفل الذكي. سوء الاستخدام يؤدي إلى مصادرة التأمين وإنهاء العقد.

5. Guest Responsibility & Conduct / مسؤولية الضيوف والسلوك

The Agent is fully responsible for any guest(s) they introduce or accompany.
الوكيل مسؤول تمامًا عن أي ضيف أو ضيوف يرافقهم أو يقدمهم.

The Agent agrees to:

• Ensure guests treat properties with care and respect.

• Monitor guest access where applicable.

• Follow all local check-in/check-out procedures established by the Company.
  يوافق الوكيل على:

• ضمان أن يعامل الضيوف العقارات بعناية واحترام.

• مراقبة وصول الضيوف حسب الحاجة.

• اتباع جميع إجراءات تسجيل الوصول / المغادرة المحلية التي تحددها الشركة.

6. Agent Liability for Damages / مسؤولية الوكيل عن الأضرار

The Agent shall be financially liable for any of the following:
الوكيل سيكون مسؤولًا ماليًا عن أي من الأضرار التالية:

• Physical damages to the property, furniture, electronics, fixtures, or appliances caused directly or indirectly by guests they referred.
  الأضرار المادية للعقار أو الأثاث أو الإلكترونيات أو التجهيزات أو الأجهزة التي تسبب فيها الضيوف الذين أحالهم الوكيل.

• Loss or theft of items due to negligence, poor guest screening, or unauthorized access.
  فقدان أو سرقة العناصر بسبب الإهمال أو ضعف فحص الضيوف أو الوصول غير المصرح به.

• Damage to smartlock systems caused by misuse or sharing of credentials.
  الأضرار التي تلحق بأنظمة القفل الذكي بسبب سوء الاستخدام أو مشاركة بيانات الوصول.

• Excessive cleaning costs incurred due to improper guest behavior or mismanagement.
  التكاليف الزائدة للتنظيف الناتجة عن سلوك الضيوف غير المناسب أو سوء الإدارة.

• Noise complaints or fines issued by property management due to disturbances.
  شكاوى الضوضاء أو الغرامات التي تصدرها إدارة العقار بسبب الاضطرابات.

• Breach of house rules or check-in/check-out protocol leading to penalties or negative reviews.
  انتهاك قواعد المنزل أو بروتوكولات تسجيل الوصول / المغادرة مما يؤدي إلى غرامات أو تعليقات سلبية.

• Legal claims or fines resulting from illegal guest behavior or local ordinance violations.
  المطالبات القانونية أو الغرامات الناتجة عن سلوك ضيوف غير قانوني أو انتهاك اللوائح المحلية.

The Company reserves the right to deduct any such damages from the Agent’s deposit and, where necessary, pursue legal or arbitration claims for recovery.
تحتفظ الشركة بالحق في خصم أي من هذه الأضرار من تأمين الوكيل، وعند الضرورة، متابعة المطالبات القانونية أو التحكيم لاسترداد المبالغ.

7. Commission Structure (Optional) / هيكل العمولة (اختياري)

Example: The Agent will earn a commission of 14.5% for each successful guest referral or booking, payable monthly within 10 business days of the following month.
مثال: سيحصل الوكيل على عمولة بنسبة 14.5 ٪ لكل إحالة ضيف أو حجز ناجح، يتم دفعها شهريًا في غضون 10 أيام عمل من الشهر التالي.

8. Termination / الإنهاء

Either party may terminate this Agreement with 7 days’ written notice.
يجوز لأي طرف إنهاء هذا العقد بإشعار كتابي مدته 7 أيام.

Upon termination:
عند الإنهاء:

• All property access must cease immediately.
  يجب التوقف عن الوصول إلى العقار على الفور.

• All smartlock access shall be revoked.
  سيتم إلغاء الوصول إلى القفل الذكي.

• A final inspection report will be issued, and the deposit refunded by the 1st of the next month if no damages are found.
  سيتم إصدار تقرير الفحص النهائي، ويتم رد التأمين في اليوم الأول من الشهر التالي إذا لم يتم العثور على أضرار.

9. Local Law Compliance / الالتزام بالقوانين المحلية

The Agent agrees to comply with all applicable Egyptian laws and regulations, including those relating to:
يوافق الوكيل على الامتثال لجميع القوانين واللوائح المصرية المعمول بها، بما في ذلك ما يتعلق بـ:

• Guest and hospitality conduct,
  سلوك الضيوف والضيافة،

• Property visits,
  زيارات العقارات،

• Data privacy,
  خصوصية البيانات،

• Local police or tourism reporting requirements,
  متطلبات الإبلاغ للشرطة المحلية أو السياحة،

and shall be solely responsible for any breaches or local penalties arising from their operations in Egypt.
ويكون الوكيل مسؤولًا بشكل كامل عن أي خروقات أو عقوبات محلية تنشأ عن عملياته في مصر.

10. Governing Law & Arbitration / القانون الحاكم والتحكيم

English law governs. Arbitration seated in London under LCIA rules. Enforceable under New York Convention.
يخضع العقد للقانون الإنجليزي. التحكيم يتم في لندن بموجب قواعد LCIA. قابل للتنفيذ بموجب اتفاقية نيويورك.

11. Contract Platform / منصة العقد

This agreement may be generated online on Nomadshive.com website. Payments processed through Stripe.

12. Entire Agreement / العقد الكامل

This document represents the entire agreement. Amendments must be in writing.
يمثل هذا المستند الاتفاقية الكاملة. يجب أن تكون التعديلات كتابية.
